هدف: با وجود پذیرش اصل مسئولیت کیفری اشخاص حقوقی در حقوق ایران، ماده ۲۰ قانون مجازات اسلامی با مستثنا کردن اشخاص حقوقی دولتی و عمومی غیردولتی در حوزه اعمال حاکمیتی، یکی از مهمترین محدودیتهای این اصل را ایجاد کرده است. هدف این پژوهش، تحلیل انتقادی مبانی، حدود و آثار این استثنا و بررسی ابهام مفهومی اعمال حاکمیتی در تمایز با اعمال تصدی در پرتو حقوق ایران و رویکردهای منتخب در نظامهای کامنلا است. روششناسی: این تحقیق با روش توصیفی-تحلیلی و با رویکرد تطبیقی، به مطالعه متون قانونی، دیدگاههای دکترین و برخی الگوهای قابل اعتنا در نظامهای کامنلا پرداخته و کوشیده است مسئله مسئولیت کیفری نهادهای عمومی را بهصورت موضوعمحور و انتقادی بررسی کند. یافتهها: یافتههای پژوهش نشان میدهد که چالش اصلی در حقوق ایران نه صرف پذیرش یا عدم پذیرش مسئولیت کیفری اشخاص حقوقی دولتی، بلکه ابهام در قلمرو استثنای مقرر در ماده ۲۰ و فقدان معیارهای روشن برای تشخیص اعمال حاکمیتی از اعمال تصدی است. این ابهام، زمینه تفسیر موسع از استثنا و در نتیجه کاهش دامنه پاسخگویی کیفری نهادهای عمومی را فراهم میکند. بررسی تطبیقی نیز نشان میدهد که گرایش غالب در حقوق کیفری نوین، حرکت به سوی تقویت پاسخگویی نهادهای عمومی و محدود کردن مصونیتهای سنتی است، بهویژه در مواردی که رفتار نهادهای وابسته به قدرت عمومی آثار گستردهتری بر حقوق شهروندان و منافع عمومی برجای میگذارد. نتیجهگیری: بر پایه یافتههای این پژوهش، هر فعالیت نهاد دولتی را نمیتوان صرفاً به اعتبار وابستگی آن، در زمره اعمال حاکمیتی دانست و از شمول مسئولیت کیفری خارج کرد. ازاینرو، استثنای مندرج در ماده ۲۰ باید بهصورت مضیق تفسیر شود و در سطح تقنینی نیز بازنگری آن با هدف تعیین معیارهای دقیق برای تشخیص اعمال حاکمیتی، تحدید قلمرو معافیت، و تقویت اصل پاسخگویی کیفری ضروری است. بدینترتیب، مسئولیت کیفری اشخاص حقوقی دولتی نه در تعارض با حاکمیت، بلکه در راستای تضمین حاکمیت قانون و کنترل کیفری سوءاستفاده از قدرت عمومی قابل توجیه است.

Abstract
Objective: Despite the acceptance of the principle of corporate criminal liability in Iranian law, Article 20 of the Islamic Penal Code has established a significant qualification to this principle by exempting state-owned and non-governmental public entities regarding their exercise of sovereign powers. This study aims to critically analyze the foundations, scope, and consequences of this exemption, and to examine the conceptual ambiguity surrounding the distinction between sovereign acts and proprietary (commercial/ administrative) acts, in light of Iranian law and selected perspectives from common law systems. Methodology: Employing a descriptive-analytical method and a comparative approach, this research examines statutory provisions, scholarly views, and notable models within common law systems, seeking to critically analyze the criminal liability of public entities through a thematic lens. Findings: The research findings indicate that the primary challenge in Iranian law lies not merely in the acceptance or rejection of criminal liability for state-owned legal entities, but rather in the ambiguity surrounding the scope of the exception stipulated in Article 20 and the absence of clear criteria for distinguishing between sovereign acts and commercial (proprietary) acts. This ambiguity paves the way for an expansive interpretation of the exception, thereby curtailing the scope of criminal accountability for public institutions. A comparative analysis further reveals that the prevailing trend in modern criminal law is to strengthen the accountability of public institutions and limit traditional immunities—particularly in instances where the conduct of entities linked to public authority has significant repercussions for citizens' rights and the public interest. Conclusion: Based on the findings of this study, the activities of a state entity cannot be classified as "acts of sovereignty"—and thus exempted from criminal liability—solely on the grounds of the entity's affiliation with the state. Consequently, the exception stipulated in Article 20 must be interpreted narrowly; furthermore, a legislative review is essential to establish precise criteria for identifying acts of sovereignty, limiting the scope of the exemption, and reinforcing the principle of criminal accountability. Thus, the criminal liability of state legal entities is justifiable not as a conflict with sovereignty, but as a means to ensure the rule of law and provide criminal oversight regarding the abuse of public power.
